1. ROAD 90 Website

Road90.com (the “Website”) is a free video hosting website that enables registered users to upload, share, and comment on their personal videos or profile page.
Each video is limited to a 100 megabyte file size and a duration of 10 minutes.
The videos that users can upload on ROAD 90 will be about Israel, the land of Israel, and its surroundings. The website will only accept video that enters in these categories: Towns, villages or cities; Judaic places; Nature; Historic and Cultural areas.
In accordance with Internet practice and customs, advertisements may be incorporated into the Website.

2. ROAD 90 Accounts

In order to use many of the Website’s features, you must setup an account using the online registration form. When creating your account, you must provide accurate and complete information.
You are free to modify the personal data that you provide on the form at any time. Upon registering, you will be sent an email containing a hyperlink that must be clicked in order to confirm your registration. You may access your account by entering your username and password in the login fields on the homepage.
You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.
Registration entitles you to use the Website for an unlimited period of time. We reserve the right to terminate your account at any time. Failure to fulfill the aforementioned obligations respecting user liability may result in access to your personal page being temporarily or permanently suspended, immediately and without notice, or deactivation of your account, without prejudice to any other rights we may have.

3. Intellectual Property Rights

A. Individuals
ROAD 90 does not have proprietary rights to your content. By making your content accessible to other users (as individuals and as a group), you agree to allow all users to view your content on or through the Website for the entire period in which your content is hosted on the Website.
If you wish to use another user’s content for any other purpose, in particular for commercial use, you are responsible for obtaining the necessary authorization in advance.
For the entire period in which your content is hosted, you authorize ROAD 90 to reproduce and display your content via the features that enable the Website to be accessed on the Internet, and to adjust said content’s format as necessary for display purposes.
Information transmitted – including your text and video – cannot be protected against the risks of misappropriation and/or piracy. ROAD 90 shall not be liable in such cases.

B. ROAD 90
The Website is our exclusive property.
We offer you a free and personal right to access and use the Website. All other rights are expressly excluded without our prior written consent.

4. Your liability as user

You warrant that any of your submissions, username, picture, videos sent, and personal comments do not contain pornography; dangerous or illegal acts including but not limited to incitement to violence, animal abuse or drug abuse; unlawful, obscene, defamatory or libelous material; images of rape; images of bestiality; or any sexually explicit content (including but not limited to intercourse, masturbation, sadistic or masochistic abuse, explicit depiction of male or female genitalia or pubic areas, pedophilia or necrophilia).

You acknowledge that ROAD 90 does not pre-screen content, but that ROAD 90 and its designees shall have the right in their sole discretion to refuse, delete, change, or recategorize any content that is available via this service. You agree that any improper, abusive, fraudulent, or illegal activity or violation of the Terms Of Use may be grounds for immediate termination of your membership.
The website will only accept video that in the following categories: Towns, villages or cities, Judaic places, Nature, Historic/Cultural places.

You also warrant that images and videos:
- do not infringe on the intellectual property rights of any third party;
- do not infringe personal rights or personal privacy;
- are not contrary to public policy and to any applicable laws or regulations.

By uploading or disseminating images, sound or text to or through the Website, you warrant that you agree to the Copyright Notices

5. Our liability as host

We are under no legal obligation to monitor content transmitted via or stored on the Website. Our only obligation as host concern:
- the retention of your connection data, which is moreover subject to an obligation of confidentiality and treated in legal compliance
- the removal of all clearly illegal content which has been effectively brought to our attention.

6. Disclaimers of warranties

You expressly understand and agree that:

- Your use of the service is at your sole risk. The service is provided on an "as is" and "as available" basis. Road 90 expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Road 90 assumes no responsibility for the timeliness, deletion, or mis-delivery of any content, or failure to provide any content or to store any personalization settings or user content.
- Any content downloaded or otherwise obtained through the service is downloaded and used at your sole discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of any such content.
- No advice or information, whether oral or written, obtained by you from road 90 or through the road 90 service shall create any warranty not expressly stated in the tos.

7. Limitation on liability

You understand and agree that road 90, its officers, affiliates, directors, employees and agents shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses (even if road 90 had been advised of the possibility of such damages), resulting from:
- the use or the inability to use the service;
- the cost of procurement of substitute services resulting from any services obtained through or from the service;
- unauthorized access to or alteration of your transmissions or data;
- statements or conduct of any third party on the service;
- or any other matter relating to the service.

8. Availability

In principle, Road90.com may be accessed at any time, contingent to any scheduled or unscheduled maintenance interruptions or in the event of force majeure . We shall not be liable for damages of any kind resulting from Website unavailability.

You agree that ROAD 90 shall be deemed to be a passive website that is based solely in Delaware and over which personal jurisdiction cannot be obtained, either specific or general, in any jurisdiction other than Delaware.

You agree that any dispute between you and ROAD 90 arising out of or relating in any way to this agreement or your use of the ROAD 90 website shall be interpreted in accord with the laws of the State of Delaware, without reference to its conflicts of laws, and shall in all respects be governed, construed, applied, and enforced in accordance with the laws of Delaware. You also agree that any claim or dispute between you and ROAD 90 shall be decided exclusively by a court of competent jurisdiction located in Delaware.

11. Entire Agreement

The Terms Of Use constitutes the entire and only Agreement between you and ROAD 90 with respect to the ROAD 90 Service, and supersedes any prior agreements, oral or written, between you and ROAD90. Any and all other collateral representations, promises, and conditions; and any representation, warranty, promise or condition not incorporated herein or made as provided for in this Terms Of Use shall not be binding on ROAD 90.
